  • Take a recommended structure through to implementation by coordinating with the corporate service provider or registered agent on incorporation of UAE entities: select the vehicle and jurisdiction, brief the agent, resolve the tax and licensing questions that arise, and see it through to set-up. Knowledge of the incorporation procedure itself is not required.
  • Track new UAE CT developments and assess their effect on existing client structures.
  • Support the India tax structuring team on the UAE side of acquisitions, business transfers, restructurings, holding structures, outbound investment and exits.
  • Test whether a proposed structure is implementable under FEMA and Indian exchange control, and identify constraints on outbound investment, overseas holding companies and Foundations.

  • Ability to produce more than one workable structure for a transaction and explain the trade-offs.
  • Working knowledge of UAE Corporate Tax, or demonstrated ability to build technical depth in a new regime quickly.
  • CA or equivalent professional qualification.

  • FEMA and Indian exchange control regulations, and Indian international tax provisions.
  • ADGM and DIFC Foundations, succession and private client structuring.
  • M&A tax, due diligence and corporate restructuring.
  • Experience coordinating UAE entity incorporations with service providers.
  • Depth in UAE CT return review.

Questions for this role

Assume a case of UAE company, which has borrowed a loan from its shareholder (natural person) and the amount raised was further applied to acquire real estate, acquire shares of Portugal subsidiary and provide loan to Portugal subsidiary, such loan amount is in AED and loan to Portugal is in Euros. Euro loan has no fixed repayment date and settlement is neither planned nor likely in the foreseeable future.

Assume the person filing return for UAE Company in calendar year 2024, had mistakenly chosen to offer tax on even unrealised gains.

Now for Calendar year 2025 due to foreign exchange unrealised gains the company is required to pay tax on such unrealised gains amount.

Provide a structuring solution to such question.

An Indian company wholly owns a UAE company, such UAE company is into metal trading business and earns huge amount of profits, such profits are applied for making investments in unlisted Venture capital funds and equity shares of unlisted companies in USA and other parts of world. Whether such UAE company can be a settlor and settle its investments portfolio in a Foundation?

Is this allowed under Foreign Exchange Management Act of India, 1999 (FEMA), if no, what are the implications of the same under FEMA?

What would be the implications in case beneficiaries are same as shareholders of the UAE company?

Further, what would be the implications in case all the beneficiaries are Indian Residents?

The company earns up to AED 2.9 million every year. It runs two production lines, employs 46 people, and imports approximately AED 9 million of raw materials annually. Its customers are spread across the world (including UAE), the company is looking to expand its business and wanted to understand if there are any structuring options available to suit its case and if so, what are the available options.

In case there are any options available how would the company safeguard itself from anti-avoidance rules?

Assume a structure where a company is owned by promoters group, now same promoters group open a foundation together and all are the beneficiaries as well as council members of that foundation, can such foundation which has opted to be treated as unincorporated partnership, be part of Qualifying group of the company under Article 26? If so explain how?

Mr. A has a company in US, his brother in law (Mr. B)has a Foundation in UAE, in which there are two council member (sister and Mr. B).

Can a company which is 100% owned by foundation escape transfer pricing or connected person disclosures? if yes then how?

What facts would you change, such that same control and ownership matrix remains and the company can still escape the disclosure requirements.
